Terms of Service

1. Acceptance of Terms

By accessing or using VIRA Solutions ("the Service"), operated by CyberDr3k Studios Inc. ("we," "us," "our"), a corporation registered in New Brunswick, Canada, you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.

2. Description of Service

VIRA Solutions is an AI-powered content and automation platform that enables users to generate marketing and business content including blog posts, ad copy, email campaigns, and social media posts. Agency tier subscribers additionally have access to VIRA Codex, an AI-powered web application builder. The Service operates on a subscription basis with multiple tiers offering different generation limits and feature access.

3. Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract to use the Service. The Service is not intended for minors. If we become aware that a minor has created an account, we will terminate it promptly.

4. Accounts and Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

5. Subscriptions and Billing

VIRA Solutions offers the following subscription tiers, billed monthly in Canadian dollars (CAD):

• VIRA Starter — $12.00 CAD/month — 150 AI content generations/month
• VIRA Pro — $29.00 CAD/month — 600 AI content generations/month
• VIRA Elite — $79.00 CAD/month — 2,500 AI content generations/month, 2 Codex app builds/month
• VIRA Agency — $149.00 CAD/month — Unlimited AI content generations, 75 Codex app builds/month

Subscriptions renew automatically at the end of each billing cycle unless cancelled. You may cancel at any time through your account billing settings. Cancellation takes effect at the end of the current billing period — you retain access until then.

All fees are non-refundable except where required by applicable law. We do not provide refunds for partial billing periods or unused generation credits.

Payments are processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis. We do not store full payment card details.

6. Generation Limits, Codex Builds, and Overage Billing

Each subscription tier includes a monthly AI content generation allowance as described on the pricing page. Unused generations do not roll over at the end of each billing cycle.

The Agency tier includes 75 Codex app builds per month. Once this limit is reached, additional Codex builds are available at the actual API cost plus 10%. You will be shown the exact charge before each overage build proceeds and must explicitly confirm before any charge is applied. Your running overage total is visible on your Billing page at all times. There are no hidden or automatic overage charges.

We reserve the right to enforce fair use limits if usage is determined to be abusive, automated beyond normal human interaction, or intended to resell raw API access.

7. Acceptable Use

You agree not to use the Service to:

• Generate content that is unlawful, defamatory, harassing, or fraudulent;
• Violate any applicable local, provincial, federal, or international law;
• Infringe upon the intellectual property rights of any third party;
• Generate spam, phishing content, or unsolicited mass communications;
• Reverse-engineer, decompile, or extract the underlying AI models or platform code;
• Use the Service to train competing AI models or systems;
• Circumvent generation limits through automation, scripting, or API abuse;
• Distribute malware, exploit code, or harmful software;
• Impersonate any person, company, or entity.

We reserve the right to suspend or terminate accounts that violate this section, with or without notice, at our sole discretion.

8. Intellectual Property and Ownership of Output

As between you and VIRA Solutions, you own the content and applications you generate using the Service ("Generated Output"), subject to the following:

• You are solely responsible for reviewing, testing, and validating all Generated Output before use. AI-generated content may contain errors, inaccuracies, or omissions. Reliance on Generated Output is at your own risk.
• VIRA Solutions retains ownership of the platform, interface, underlying technology, models, algorithms, and all improvements thereto.
• You grant VIRA Solutions a limited, non-exclusive license to process your inputs and Business Profile data solely to deliver the Service to you.
• Generated Output may be subject to third-party rights in the underlying AI models or training data. We make no warranties regarding the originality or non-infringement of Generated Output.

VIRA Codex outputs (web applications, code files, and project archives) are delivered as-is. You are responsible for any further development, deployment, and maintenance of applications generated by VIRA Codex.

9. AI Models and Third-Party Services

The Service is powered by a multi-model AI stack. Each model is selected automatically based on the task type:

• OpenAI, L.L.C. (GPT-4o) — primary model for content generation including blog posts, ad copy, email, and social media
• Anthropic, PBC (Claude) — primary model for VIRA Codex app generation and complex content tasks
• Google LLC (Gemini) — used for fast iteration tasks and as a fallback when primary models are unavailable

Your inputs and Business Profile data are transmitted to these third-party AI providers as necessary to generate outputs. We contractually require that our AI subprocessors do not use your data to train general-purpose models.

The Service also integrates with Stripe (payments) and Firebase/Google Cloud (infrastructure). Use of these integrations is subject to their respective terms.

10. VIRA Codex — Elite and Agency Tiers

VIRA Codex is an AI-powered application builder. Elite tier subscribers receive 2 Codex app builds per month. Agency tier subscribers receive 75 Codex app builds per month with overage available at cost plus 10%. Codex generates web application code in three output formats: standalone HTML, React + Vite project, or Node.js + Express project.

You acknowledge and agree that:

• Codex outputs are delivered as downloadable code files or archives. VIRA does not host, deploy, or maintain applications generated by Codex.
• Generated applications are not automatically deployed to any live environment.
• You are solely responsible for reviewing, testing, securing, and deploying any Codex-generated application.
• Agency tier white-label outputs contain no VIRA branding. You may distribute or deploy these outputs to your own clients subject to your own agreements with them.
• VIRA Solutions is not liable for any issues, vulnerabilities, or damages arising from the deployment or use of Codex-generated applications.

11. Privacy and PIPEDA Compliance

Your use of the Service is also governed by our Privacy Policy. VIRA Solutions complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Canadian provincial privacy legislation. We do not sell your personal information.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that Generated Output will meet your specific requirements.

13. Limitation of Liability

To the maximum extent permitted by applicable law, CyberDr3k Studios Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising from or related to your use of or inability to use the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless CyberDr3k Studios Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of your use of the Service, your Generated Output, or your violation of these Terms.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including IP ownership, limitation of liability, indemnification, and governing law — will survive.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Brunswick, Canada.

17. Changes to Terms

We may update these Terms at any time by posting the revised version on this page. Material changes will be communicated by email or in-app notice. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
